What Exactly is a Non-Executive Director, NED?

A Non-Executive Director, NED, is a member of a company’s board who is not part of the executive management team and does not participate in the day-to-day operations of the business.  Instead, NEDs bring an independent and external perspective, providing constructive challenge, objective oversight, and strategic guidance to the executive team.

Many NEDs also contribute specialist expertise and knowledge of best practice in areas such as finance, human resources, information technology, cybersecurity, legal affairs and major project management.  They add value by offering strategic insight and acting as a sounding board for the executives.

Like Executive Directors, Non-Executive Directors, must exercise independent judgement, act with reasonable care, skill and diligence and carry the same legal liabilities as executive counterparts. For this reason, we recommend that prospective NEDs conduct full due diligence and seek legal advice before accepting any appointment.

All public-sector NEDs are also expected to uphold the Nolan Principles of Public Life, published by the Committee on Standards in Public Life in 1995.  These seven principles are selflessness, integrity, objectivity, accountability, openness, honesty, and leadership.
